Job Summary
We seek the services of an experienced professional to work with us as Head, Company Secretary.
The Head, Company Secretariat will provide effective corporate governance and secretarial support to the Board and Management, ensuring compliance with statutory, regulatory, and corporate governance requirements. The successful candidate will coordinate Board activities, maintain corporate records, and provide guidance on governance and regulatory matters.
Key Responsibilities
Provide corporate secretarial and governance support to the Board and its Committees.
Coordinate Board and Committee meetings, including preparation of agendas, notices, minutes, and resolutions.
Ensure timely and accurate statutory and regulatory filings.
Maintain statutory registers, corporate records, and governance documentation.
Advise the Board and Management on corporate governance and regulatory matters.
Ensure compliance with applicable laws, CBN, NDIC, CAC, and other regulatory requirements.
Monitor changes in relevant laws and regulations and advise Management accordingly.
Coordinate communication between the Board, Management, regulators, shareholders, and other stakeholders.
Ensure proper documentation and follow-up of Board and Committee decisions.
Liaise with external solicitors, regulators, auditors, and other professional advisers when required.
Support the development and implementation of sound corporate governance practices.
Lead, supervise, and develop the Company Secretariat team.
Qualifications & Experience
Bachelor''s degree in Law (LL.B) or a related field.
BL qualification is required; relevant professional qualification in Company Secretarial Practice or Corporate Governance is an advantage.
Master''s degree is an added advantage.
Minimum of 7 years'' relevant experience, including experience in company secretarial, legal, corporate governance, or regulatory roles.
Experience in banking, microfinance, fintech, or other regulated financial institutions is an advantage.
Strong knowledge of corporate governance, statutory compliance, Board processes, and regulatory requirements.
